Terms of Service

By accessing or using Dukes Matrix ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

Dukes Matrix is a software-as-a-service (SaaS) platform that analyses Google Ads and Google Merchant Center data to provide product segmentation using BCG Matrix methodology. The Service includes:

• Product performance analysis and segmentation
• BCG Matrix visualisation (Contenders, Cash Cows, Stars, Dogs)
• Budget allocation recommendations
• Custom Label generation for Google Ads campaigns
• Historical performance tracking and reporting

To use certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised access

You must provide accurate, current, and complete information during registration and keep your account information updated.

The Service requires connection to your Google Ads and/or Google Merchant Center accounts. By connecting your Google accounts, you:

• Authorise us to access your account data as described in our Privacy Policy
• Confirm you have the authority to grant such access
• Understand that data accuracy depends on your Google account configuration

You may disconnect your Google accounts at any time through the Service settings or your Google Account permissions.

Pricing

The Service is offered on a subscription basis. Current pricing is:

• Base fee: $999 AUD per month
• Performance fee: 2% of managed Google Ads spend
• Free trial: 1 month (no credit card required)

Billing

Subscriptions are billed monthly in advance. The performance fee is calculated and billed based on your Google Ads spend during the previous billing period.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

Price Changes

We reserve the right to modify pricing with 30 days' notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to our systems
• Interfere with or disrupt the Service or servers
• Share your account credentials with third parties
• Reverse engineer or attempt to extract source code
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorisation

The Service, including its original content, features, and functionality, is owned by Duke Labs Pty Ltd and is protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your data. By using the Service, you grant us a limited licence to process your data solely for the purpose of providing the Service.

"Dukes Matrix", "BCG Matrix for Google Ads", and associated logos are trademarks of Duke Labs Pty Ltd.

The Service provides analysis and recommendations based on your Google Ads data. You acknowledge that:

• Recommendations are suggestions only and do not guarantee results
• Advertising performance depends on many factors outside our control
• Historical performance does not guarantee future results
• You are responsible for implementing any recommended changes

To the maximum extent permitted by law, Duke Labs Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Any damages arising from your use of the Service

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of any information
• Uninterrupted or error-free operation

We do not warrant that the Service will meet your specific requirements or that any errors will be corrected.

You agree to indemnify and hold harmless Duke Labs Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or data you submit through the Service

We may terminate or suspend your account immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and associated data
• Provisions that by their nature should survive will survive

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after changes constitutes acceptance of the modified Terms.

These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of Victoria, Australia.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Duke Labs Pty Ltd regarding the Service and supersede any prior agreements.
